Terms of Use

1. Who These Terms Apply To
These Terms apply to any organization, business, nonprofit, government entity, or individual (“Customer,” “you”) that creates, deploys, manages, or operates AI guides (“Guides”) using the Skilly platform.
You are the “Third-Party Team” referenced in Skilly’s End-User Terms. Your use of the platform must be consistent with the expectations set for end users in those Terms.
2. Role of the Parties (Critical)
Skilly provides the infrastructure.
You provide the experience.
Skilly acts as:
- a platform provider
- a data processor/service provider for platform-managed data
- a provider of user controls (incognito, de-linking, messaging preferences)
You (Customer) act as:
- the operator of your Guides
- the controller or business determining why and how end-user data is used outside the Skilly platform
- the party responsible for your programs, services, and communications with users
Key principle:
Skilly controls the platform. You control your relationship with the end user.
3. Your Responsibilities to End Users
You agree that when you deploy a Guide:
- You will clearly identify your organization as the operator of the Guide
- You will not misrepresent skilly as the provider of your services
- You will comply with all applicable privacy, consumer protection, and communications laws
- You will respect user privacy settings made within Skilly, including:
- incognito mode
- messaging preferences
- de-linking
You must not attempt to override, bypass, or ignore these settings within the Skilly platform.
4. Handling of End-User Data
4.1 Within the Skilly Platform
Skilly provides tools that:
- limit identity sharing (incognito)
- control communication permissions
- allow de-linking of identity from conversations
You may access only the data made available to you consistent with those controls.
4.2 Outside the Skilly Platform (Critical Risk Boundary)
If you:
- export data
- copy transcripts
- store user data in your CRM
- collect information through forms or integrations
Then:
- You are independently responsible for that data
- Skilly’s privacy controls no longer apply to that copy
- You must comply with all applicable laws governing that data
You agree not to represent that Skilly controls or governs data once you have taken it outside the platform.
4.3 No Circumvention of Privacy Controls
You may not:
- attempt to identify users who have chosen incognito mode
- combine Skilly data with other datasets to re-identify users
- infer identity through indirect signals
- override or ignore messaging preferences
5. Acceptable Use of the Platform
In addition to standard restrictions, you agree NOT to:
- use the platform to build or train competing AI systems
- extract, replicate, or reverse engineer Guides or system behavior
- systematically test or benchmark Skilly to replicate its capabilities
- export or use data in a way that violates user expectations or applicable law
- use Guides to collect sensitive data without a legitimate and disclosed purpose
- deploy Guides in a misleading, deceptive, or harmful way
- misrepresent AI outputs as human-generated where that would mislead users
6. AI Use and Responsibility
You acknowledge:
- Guides may generate incorrect or incomplete outputs
- You are responsible for how your Guide is configured, positioned, and used
- You are responsible for any decisions, actions, or services delivered based on Guide outputs
If your use case involves:
- regulated industries
- health, legal, financial, or safety contexts
You are responsible for adding appropriate disclaimers, safeguards, and human oversight.
7. Security and Data Protection
Skilly implements reasonable administrative, technical, and organizational safeguards for platform data.
You agree to:
- maintain appropriate security practices for any data you export or store
- restrict access to authorized personnel
- notify skilly of any known misuse of the platform
If a security issue arises:
- Skilly will handle incidents within its platform scope
- You are responsible for incidents involving your own systems or exported data
8. Integrations and Third-Party Systems
If you connect Skilly to:
- CRM systems
- APIs
- databases
- third-party tools
You are responsible for:
- the legality of those integrations
- the accuracy of data flows
- compliance with applicable data protection requirements
- never using or accessing consumer data unless explicitly authorized
Skilly is not responsible for failures or misuse within your connected systems.
9. Intellectual Property
Skilly retains all rights to:
- the platform
- models, orchestration, and infrastructure
- system behavior and design
You retain rights to:
- your content
- your Guide configuration
- your business data
However, you may not:
- copy or replicate the platform
- use outputs to recreate Skilly functionality
- white-label or resell without authorization
10. Service Availability
Skilly may:
- modify features
- improve systems
- update models
- change integrations
We do not guarantee uninterrupted availability.
11. Termination
Skilly may suspend or terminate access if:
- you violate these Terms
- you misuse user data
- you create risk to users, the platform, or other customers
- required for legal or security reasons
Upon termination:
- your access to the platform ends
- data handling obligations continue where required
12. Limitation of Liability
To the maximum extent permitted by law:
Skilly is not responsible for:
- your use of the platform
- your interactions with end users
- your handling of exported data
- decisions made based on Guide outputs
13. Indemnification
You agree to indemnify Skilly for claims arising from:
- your misuse of the platform
- your violation of law
- your handling of user data
- your Guide configuration or outputs
14. Governing Law
Pennsylvania, unless otherwise required by applicable law.
